Terms of Use — Sky Cashback Merchant

1. Introduction and Acceptance
These Merchant Terms and Conditions (the "Terms") govern access to and use of the Sky Cashback Merchant application (the "Merchant App"), operated by Sama for Investments, a company registered under the laws of the Syrian Arab Republic, with its head office in Damascus – Customs Square – Free Zone – Sky Building – Ground Floor (the "Company", "we", "us").
The Company is licensed to carry out electronic marketing activity under commercial register no. 0311010423, and operates within the scope of that licence and the laws governing it. The Sky Cashback application is approved by the National Authority for Information Technology Services under final licence no. 31/2036 – dated July 7, 2026.
The Company is a trading company whose business is selling goods. It is not a bank, a financial institution, or a payment service provider, and the Merchant App is not a payment service.
By signing in to or using the Merchant App, the partner merchant and each of its staff members agree to be bound by these Terms. If you do not agree to them, you must not use the Merchant App.
2. Relationship to the Partner Agreement
- The Merchant App is provided only to businesses that have signed a partner agreement with the Company (the "Partner Agreement").
- These Terms supplement the Partner Agreement and govern the day-to-day use of the Merchant App. They do not replace it.
- If there is any conflict between these Terms and the Partner Agreement, the Partner Agreement prevails.
3. Definitions
- Partner merchant: the business that has signed the Partner Agreement with the Company and accepts Sky Cashback vouchers for its goods and services.
- Authorized staff: the owners and employees of the partner merchant who have been given a Merchant App account.
- Customer: a registered user of the Sky Cashback customer app who redeems vouchers at the partner merchant.
- Voucher: a product the Company owns and sells to customers through the Sky Cashback app. It is a prepaid entitlement to goods and services from partner merchants, not money.
- Vouchers value: the total value of the vouchers a customer holds and has not yet redeemed.
- Cashback: the discount granted to customers, in the form of vouchers, when they redeem vouchers at a partner merchant.
- Invoice: a sale request the partner merchant creates in the Merchant App, shown as a QR code or confirmed by a one-time code, which the customer confirms to redeem vouchers.
- Return invoice: a request the partner merchant creates in the Merchant App to record goods or services returned by a customer.
5. Account Security
- Staff sign in with their mobile number and a password. Passwords can be reset by a one-time code sent by SMS to the staff member's own mobile number.
- Sign-in credentials are personal. They must not be shared with anyone, including other staff of the same partner merchant.
- The partner merchant is responsible for all actions carried out through its Merchant App accounts, including the actions of its staff.
- If you suspect that an account or a device with the Merchant App has been lost or accessed without authorization, you must inform the Company immediately at support@sky-cashback.com.
6. Using the Merchant App
- Sell: you enter the sale amount, optionally a description, and a cashback percentage from the set agreed for your business, and generate an invoice QR code. The customer scans it in the Sky Cashback customer app and confirms it with their PIN.
- Offline sell and offline return: you enter the customer's mobile number, a one-time code is sent by SMS to the customer's phone, and the customer gives you the code to confirm the transaction.
- When using these features, the partner merchant must:
- enter the correct amount for each transaction;
- issue invoices only for real sales of its own goods and services, made to the customer concerned;
- apply to customers who pay with vouchers the same announced prices applied to any other customer;
- not ask a customer to disclose their PIN, and not enter an offline customer's mobile number without the customer's knowledge.
- The Merchant App also shows the partner merchant's transactions, transaction details, and statistics, and sends notifications about completed payments and returns.
7. Returns
- Returns follow the partner merchant's own return policy, including its return window.
- A return is recorded by issuing a return invoice in the Merchant App. When the customer confirms it, the value of the returned goods or services goes back to the customer's vouchers value, and the cashback earned on that purchase is removed.
- A return invoice may be issued only for goods or services that were actually sold through the Sky Cashback app and actually returned, and for no more than their value.
8. Vouchers and Cashback
- Vouchers are prepaid entitlements to goods and services. They are not money, electronic money, or stored value.
- The partner merchant must accept valid vouchers from customers for its goods and services, as agreed in the Partner Agreement.
- Vouchers and cashback cannot be exchanged for cash, and their value is not refunded in cash. The partner merchant must not give cash, change, or any other cash equivalent to a customer in return for vouchers or cashback.
- Cashback is granted to the customer in the form of vouchers inside the Sky Cashback app. The partner merchant does not hand cashback to the customer.
9. Commercial Terms
- The cashback percentages available to the partner merchant, and all other commercial terms, are set in the Partner Agreement.
- How and when the partner merchant is paid for redeemed transactions is also set in the Partner Agreement. The payment to the merchant is made under the Partner Agreement, based on the transaction records in the Merchant App.
- Nothing in these Terms changes the commercial terms agreed in the Partner Agreement.
10. Prohibited Activities
- Creating fictitious or inflated transactions, or invoices that do not correspond to a real sale.
- Issuing return invoices for goods or services that were not returned.
- Colluding with customers or others to obtain vouchers, cashback, or payments that are not due.
- Using the Merchant App for the sale of goods or services of any business other than the partner merchant.
- Any attempt to manipulate transaction records, cashback, or statistics.
- Reverse engineering, decompiling, or attempting to extract the source code of the Merchant App, or interfering with its security, infrastructure, or proper operation.
- Any unlawful activity.
The Company may suspend any account engaged in prohibited activities without prior notice, and notify the competent authorities where appropriate.
11. Customer Data and Confidentiality
- The Merchant App shows the partner merchant transaction details, not customers' personal contact information. The only exception is a customer mobile number that staff enter themselves for an offline sale or return.
- The partner merchant must keep confidential any customer information it sees or enters in the Merchant App, and use it only to complete the transaction concerned.
- The partner merchant must not copy, store outside the Merchant App, share, or use customer information for marketing or any other purpose.
- This obligation continues after the partner merchant's account is closed or the Partner Agreement ends.
12. Privacy
The Company's handling of the personal information of merchant staff, and of customer information entered in the Merchant App, is described in the Merchant Privacy Policy, available at https://sky-cashback.com/en/merchant/privacy.
13. Intellectual Property
- The Merchant App, including its design, logos, trademarks, text, graphics, and software, is the exclusive property of Sama for Investments or its licensors.
- The partner merchant is granted a limited, non-exclusive, non-transferable licence to use the Merchant App for the purposes of the Partner Agreement, in accordance with these Terms.
- No part of the Merchant App may be copied, reproduced, distributed, or used without the Company's prior written consent.
14. Availability and Changes to the App
- The Company takes reasonable care to keep the Merchant App available, and gives prior notice of planned maintenance where possible.
- The Company may update, change, or remove features of the Merchant App from time to time.
15. Limitation of Liability
- The Merchant App is provided "as is" and "as available". The Company does not warrant continuous, error-free, or secure access to the Merchant App at all times.
- The Company is not liable for any indirect, incidental, consequential, or punitive damages arising from the use of the Merchant App.
- The partner merchant is solely responsible for the quality, safety, and legality of the goods and services it provides to customers.
- The Company is not liable for any losses resulting from incorrect amounts entered by staff, or from unauthorized access to an account caused by a failure to protect sign-in credentials.
16. Suspension and Termination
- The Company may suspend or close a Merchant App account if these Terms or the Partner Agreement are breached, if fraud is suspected, or to protect customers or the security of the service.
- Merchant App accounts cannot be deleted from within the App. The partner merchant can ask for an account to be closed by contacting support@sky-cashback.com.
- All of the partner merchant's Merchant App accounts are closed when the Partner Agreement ends. Amounts outstanding at that date are dealt with under the Partner Agreement.
17. Modification of Terms
- The Company reserves the right to amend these Terms at any time.
- Partner merchants will be notified of material changes through the Merchant App or through registered communication channels.
- Continued use of the Merchant App after amendments constitutes acceptance of the updated Terms.
18. Governing Law and Dispute Resolution
- These Terms are governed by and construed in accordance with the laws of the Syrian Arab Republic.
- Any disputes arising out of or relating to these Terms are subject to the exclusive jurisdiction of the competent courts in Damascus, Syria.
